Welcome to Seoul & Saint. These Terms and Conditions ("Terms") govern your access to and use of the website seoulandsaint.com (the "Site") and your purchase of any products from us. Please read them carefully. By accessing the Site or placing an order, you agree to be bound by these Terms.

References to "we", "us", and "our" mean Seoul & Saint. References to "you" and "your" mean the person accessing the Site or placing an order.

2. Eligibility

By using this Site, you confirm that you are at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian, who accepts these Terms on your behalf.

3. Your Account

You may browse the Site without an account, but you will need to provide certain information to complete a purchase. If you create an account:

You are responsible for keeping your login credentials confidential.
You are responsible for all activity that occurs under your account.
You agree to provide accurate, current and complete information, and to keep it updated.

We may suspend or terminate an account at our discretion if we believe it has been used in breach of these Terms, for fraudulent purposes, or in a way that harms us or other customers.

4. Products, Descriptions and Availability

We sell apparel, including oversized t-shirts, shirts, and trousers.

We make reasonable efforts to display product colours, fabrics and details accurately. However, actual colours may vary depending on your screen settings, lighting and photography. Slight variation in shade, print placement, or finish is not a defect.
Garment measurements and size charts are indicative. A tolerance of approximately [X] cm/inches may apply due to the nature of fabric and manufacturing.
Fabric composition, GSM and country of manufacture are listed on each product page. Where a product is described as "made in India", this refers to the location of manufacture.
All products are subject to availability. We may limit quantities, discontinue products, or restrict sales to any person or geographic region at our discretion.

5. Pricing

All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
Shipping charges, where applicable, are shown at checkout before you confirm your order.
We reserve the right to change prices at any time without prior notice. The price applicable to your order is the price displayed at the time your order is confirmed.
In the event of a manifest pricing error (for example, a product listed at a clearly incorrect price), we reserve the right to cancel the order and refund any amount paid, even after order confirmation.

6. Orders and Acceptance

Placing an order constitutes an offer to purchase. Your order is not accepted until we send you a confirmation of dispatch. We may refuse or cancel an order, in whole or in part, including where:

The product is out of stock or unavailable;
There is an error in the product description or price;
We suspect fraudulent, abusive, or unauthorised activity;
Payment is declined or cannot be verified;
The delivery address is outside our serviceable area.

If we cancel an order for which you have already paid, we will refund the amount paid to the original payment method.

7. Payment

We accept payment through the methods displayed at checkout, which may include UPI, debit and credit cards, net banking, wallets, and (where offered) Cash on Delivery.

Payments are processed through third-party payment gateways. We do not store your full card or banking details. Your use of a payment method is also subject to the terms of that provider. We are not responsible for failures, delays or errors caused by a payment gateway or your bank.

Cash on Delivery is available only on domestic orders up to a maximum order value of ₹999, and attracts a handling fee of ₹79 per order. Discounts, coupon codes and promotional offers cannot be applied to Cash on Delivery orders. For orders above ₹999, a prepaid payment method must be used. We may further restrict Cash on Delivery for certain pin codes, order values or customers.

8. Shipping and Delivery

Estimated dispatch and delivery timelines are stated on the Site and are indicative only, not guaranteed.
Risk of loss and title in the products pass to you on delivery to the address you provide.
You are responsible for providing a complete and accurate delivery address. We are not liable for non-delivery or delay caused by an incorrect or incomplete address, or by the recipient being unavailable.
Delivery may be affected by circumstances outside our control, including courier delays, weather, strikes, or restrictions imposed by authorities.
If a shipment is returned to us as undelivered due to repeated failed delivery attempts or refusal to accept, we may deduct shipping costs from any refund.

9. Returns, Exchanges and Cancellations

Our returns and exchanges process is set out in our [Return & Refund Policy], which forms part of these Terms. In summary:

Return or exchange requests must be raised within [X] days of delivery.
Products must be unused, unwashed, and returned with original tags and packaging intact.
Items marked as final sale, clearance, or customised/personalised are not eligible for return unless defective.
Refunds, where approved, will be processed to the original payment method within [X] business days of us receiving and inspecting the returned item.

Orders may be cancelled before dispatch by contacting us at seoulandsaint@gmail.com. Once an order has been dispatched, cancellation is not possible and the return process applies instead.

10. Intellectual Property

All content on the Site — including the "Seoul & Saint" name, logo, taglines, graphics, garment prints and artwork, photographs, text, and page design — is owned by us or licensed to us and is protected under applicable intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any of our content without our prior written permission. In particular, you may not copy or reproduce our garment prints or artwork for commercial purposes.

You may use the Site for personal, non-commercial browsing and purchasing only.

11. User Content

If you submit reviews, photographs, comments, or other content to the Site or tag us on social media:

You grant us a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, publish and display that content in connection with our business, including in marketing;
You confirm that the content is your own, does not infringe anyone else's rights, and is not unlawful, obscene, defamatory or misleading;
We may remove or refuse to publish any user content at our discretion, without notice.

12. Prohibited Use

You agree not to use the Site:

For any unlawful purpose or to solicit unlawful acts;
To infringe our intellectual property rights or those of others;
To transmit viruses, malicious code, or any material designed to interfere with the Site's operation;
To scrape, harvest, or collect data from the Site by automated means without our permission;
To submit false or misleading information, or to impersonate another person;
To interfere with the security features of the Site.

We may terminate your access for breach of this clause.

13. Third-Party Links and Services

The Site may contain links to third-party websites or use third-party services (including payment gateways, courier partners, and analytics providers). We do not control and are not responsible for the content, policies or practices of any third party. Your dealings with third parties are solely between you and them.

14. Disclaimers

The Site and all products are provided on an "as is" and "as available" basis. To the extent permitted by law, we do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses.

Nothing in these Terms excludes or limits any rights you have under the Consumer Protection Act, 2019 or other applicable Indian law that cannot be excluded.

15. Limitation of Liability

To the maximum extent permitted by law, our total liability to you in connection with any order or your use of the Site shall not exceed the amount paid by you for the relevant order.

We shall not be liable for indirect, incidental, special or consequential losses, including loss of profit, loss of opportunity, or loss of data, arising out of or in connection with your use of the Site or purchase of products.

16. Indemnity

You agree to indemnify and hold harmless Seoul & Saint, its partners, employees and agents from any claim, demand, loss or expense (including reasonable legal fees) arising out of your breach of these Terms or your violation of any law or the rights of a third party.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, government restrictions, failures of telecommunications or internet networks, or disruption to courier or logistics services.

18. Privacy

Your personal information is handled in accordance with our [Privacy Policy], which forms part of these Terms. By using the Site, you consent to the collection and use of your information as described there.

19. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. The "Last updated" date at the top indicates when the Terms were last revised. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.

20. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to any rights you have under consumer protection legislation, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

21. Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be severable and shall not affect the validity and enforceability of the remaining provisions.

22. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements or understandings.
